TERMS OF USE OF THE PLIO PLATFORM
 

Plio is an online art portfolio platform offered by Asimetrick Créations Inc., intended for all visual artists and other creative professionals whose intention is to publish original pieces as well as related information regarding their artistic practice on the Internet. The Plio Platform also includes virtual spaces where users can communicate, share, seek support and access information related to the development of artistic careers.
 

The purpose of this policy is to establish the Terms and Conditions of Use of the Plio Platform, to ensure appropriate use of the content distributed and the services offered therein, as well as to establish individual and collective behavior which complies with the standards of Asimetrick Créations Inc., those of its partners, and the applicable legislation.
 

This policy applies to any person using or visiting the Plio Platform.
 

BY USING THE PLIO PLATFORM, YOU SIGNIFY YOUR AGREEMENT TO THE FOLLOWING TERMS AND CONDITIONS. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS, PLEASE LEAVE THE PLATFORM IMMEDIATELY. THESE TERMS AND CONDITIONS MAY BE MODIFIED WITHOUT PRIOR NOTICE. PLEASE REVIEW THEM PERIODICALLY.
 

ASIMETRICK CRÉATIONS INC. EXPRESSLY DECLINES ANY LIABILITY FOR ANY UNAUTHORIZED USE OF THE PLIO PLATFORM.
 

INTELLECTUAL PROPERTY
 

1.1 Asimetrick Créations Inc. grants you a limited, revocable, and non-exclusive license to use the Plio Platform for the purposes of personal entertainment, information, education and communication, in accordance with these Terms of Use. The Plio Platform contains documents and other data related to Asimetrick Créations Inc., its products and services, as well as other similar data from our commercial partners, licensors and licensees, and third parties (collectively: “Plio Materials”).
 

1.2 The Plio Materials may be in the form of information, text, data, images, diagrams, button icons, registered or non-registered trademarks, illustrations, photographs, audio clips, musical sounds, photos, videos, software, or any other current or upcoming forms and formats. When using the Plio Platform, you must imperatively respect the intellectual property rights of Asimetrick Créations Inc., and those of its assignees.
 

1.3 Any unauthorized use of the Plio Materials constitutes an infringement of the intellectual property of Asimetrick Créations Inc., and that of its assignees, which may incur your personal or penal liability.
 

1.4 Unless stipulated in these Terms of Use or on the Plio Platform, you are not authorized to reproduce, distribute, publish, transmit, modify, adapt, translate, post, communicate, sell, license, publicly perform, create derivative works based on the Plio Materials, nor to use or otherwise exploit the Plio Materials in any commercial manner whatsoever.
 

1.5 You may download a copy of excerpts from the Plio Materials for temporary storage on your personal computer, exclusively for the purpose of viewing or using them on a non-commercial basis, provided that you do not erase, nor modify any mention of copyright, trademark, or other mentions of intellectual property.
 

1.6 The trademarks, logos, trade dress, and interfaces, (collectively, “Marks”), posted on the Plio Platform, are the exclusive property of Asimetrick Créations Inc., or that of its licensors. Nothing in these Terms of Use shall be construed as conferring any right or license to use any Mark without a formal written authorization from Asimetrick Créations Inc., or from third party right holders.
 

YOUR CREATIONS
 

2.1 All your documents, submissions, content, data, creative works, demonstrations, ideas, propositions, concepts, methods, systems, drawings, plans, techniques, or other element of that nature, that you could submit to Asimetrick Créations Inc. through the Plio Platform (collectively, “Your Creations”), will be considered non-confidential and non-exclusive. Asimetrick Créations Inc. will incur no responsibility, liability or commitment to those, or as to whether or not they have been received.
 

2.2 By submitting Your Creations to the Plio Platform, you are granting Asimetrick Créations Inc. a non-exclusive license, without any limitations in terms of time or territory, which allows Asimetrick Créations Inc. to use Your Creations in order to exploit and promote the Plio Platform.
 

2.3 You warrant Asimetrick Créations Inc. that you hold all rights, title and interest to Your Creations, including, if applicable, all necessary rights obtained from third parties, and that Your Creations shall not infringe any intellectual property right, property right or any other third party right, shall not breach any law, and shall not contain defamatory material.
 

USER ACCOUNTS, COMMUNICATION AND SUBSCRIPTION
 

3.1 Asimetrick Créations Inc. will have no obligation to monitor, filter, censor, edit or regulate information, content (including Your Creations) transmitted by you or third parties on, or through, the Plio Platform, although Asimetrick Créations Inc. reserves the right to do so, to its sole discretion, relatively to any service or functionality. Asimetrick Créations Inc. does not endorse, nor guarantee the accuracy or reliability of any information or such content transmitted by users or other third parties, and refuses any liability in this regard.
 

3.2 Concerning any information, comment, content or Your Creations, you declare and warrant Asimetrick Créations Inc. that you have the right and permission to do so, or to submit it to the Plio Platform without any additional authorization, nor any consent from third parties. In addition to any other provision that we may publish in regards to a service or a function, you agree not to:
 

3.2.1 Download, mail, transmit (by email or otherwise though the Plio Platform) or otherwise make available any content, language or document that is fraudulent, illegal, defamatory, obscene, pornographic, vulgar, offensive, profane, sexually explicit, indecent, threatening, abusive, violent, coarse, harassing or otherwise inappropriate, or that infringes any national or international laws;
 

3.2.2 Integrate software viruses, or any other computer code or fraction of a code, programs or files with the aim to prevent, interrupt, destroy or limit the functionality of a computer software or hardware or telecommunications equipment, or other equipment, or destined to breach the security of the software, hardware or other Asimetrick Créations Inc. equipment, of the Plio Platform or its content;
 

3.2.3 Download, mail, transmit (by email or otherwise though the Plio Platform) or otherwise make available any publicity or promotional document, spam, email chain, pyramidal scheme, or any other form of commercial or political solicitation, except in some sections of the Plio Platform that may be specifically intended for these purposes;
 

3.2.4 Seek to prejudice other users of the Plio Platform in any manner whatsoever;
 

3.2.5 Disturb or interrupt the Plio Platform or any service or function available on this platform, or on servers or networks related to the Plio Platform, or infringe any specification, rule, regulation, norm, law or procedure governing the networks connected to the said platform;
 

3.3 Asimetrick Créations Inc. reserves the right, to its sole discretion, to adopt and post additional regulation in any community space or to limit the access – to the totality of the community functions of that nature, by any individual or group – by age, geographic situation, or other criteria; to forbid or to limit the access by any individual or group failing to meet the required criteria or by anyone who would not respect our criteria or rules at all times, as well as change or modify the criteria or rules at any time. To its sole discretion, Asimetrick Créations Inc. also reserves the right to (without any obligation) erase from the Plio Platform any publication, message or other content in breach of this policy of use, and forbid any user from accessing the Plio Platform.
 

3.4 By using the discussion and chat services, you may be faced with other users’ content or comments – with which you may disagree, or that you may judge offensive, indecent, or unacceptable, or inaccurate, fallacious or illicit. In no event may Asimetrick Créations Inc. be held responsible for any harm, loss or damage of any amount or nature whatsoever arising from your access and your use of the services or of any content or comment published on the Plio Platform, or otherwise made available through this platform, whether the said content be transmitted, downloaded or otherwise made available through the Plio Platform by Asimetrick Créations Inc., yourself, another user or any other third party.
 

3.5 You may create an account on the Plio Platform with a username and a password. You must keep your password confidential and must not share it with anyone, nor allow someone to use your username, password or any other element related to your account.
 

SUBSCRIPTIONS
 

4.1 You may subscribe to the Plio Platform by making one (1) annual payment, from the subscription page, and according to the parameters proposed. Your payment will be made through a secure payment system.
 

4.2 In the event that your subscription is interrupted following a fault, failure or breach of the Terms and Conditions provided for in this policy, Asimetrick Créations Inc. will only be liable for issuing you a refund for the reminder of your subscription within thirty (30) days after the termination of your access to the Plio Platform. You will be billed for current months (per example, if your subscription is terminated on April 3rd, you will not get a refund for the month of April).
 

PUBLICITY AND PROMOTIONS
 

5.1 Asimetrick Créations Inc. reserves the right to post banners, publicities, promotions and similar content on the Plio Platform. Any interaction, correspondence and business relations that you have with an advertiser or a third party from the Plio Platform (including through hyperlinks) is exclusive between you and this third party, and Asimetrick Créations Inc., as a third party to these business relations and transactions, does not accept any liability, express or implied, in this regard.
 

PRIVACY AND CONFIDENTIALITY
 

6.1 No personal or private information, in particular, the name, address, telephone number or email address of a user (hereafter called “Personal Information”), will be collected, used or disclosed by Asimetrick Créations Inc. without the express consent of the user.
 

6.2 In order to offer certain services on the Plio Platform, in particular, the subscription to the platform or to certain services offered through it, Asimetrick Créations Inc. may ask you to voluntarily provide Personal Information. This Personal Information will be collected, used and, when necessary, disclosed, solely for the reasons and purposes specified by Asimetrick Créations Inc. when collecting such information. You must always signify your consent by clicking on the “I accept” button. In all cases, Asimetrick Créations Inc. only keeps Personal Information for the period of time required in order to fulfill the purposes specified when collecting the information.
 

6.3 Asimetrick Créations Inc. may also use Personal Information in order to communicate with its users. Should you wish not to receive such correspondence, you may set your profile preferences accordingly.
 

6.4 You are responsible for the information that your voluntarily submit in chat rooms or on electronic bulletin boards. Asimetrick Créations Inc. advises its users to be cautious since those spaces are public and accessible to all.
 

6.5 Asimetrick Créations Inc. may use cookies on the Plio Platform. These cookies allow the Plio Platform’s content to be adapted to the browsing habits of its user. Cookies do not disclose any Personal Information about the user.
 

6.6 The security of Personal Information collected on the Plio Platform is ensured through technological measures and administrative policies set by Asimetrick Créations Inc. Personal Information found on Asimetrick Créations Inc.’s servers is protected by firewall and its access is limited to authorized personnel only, who are provided with appropriate access codes.
 

GENERAL LIMITATIONS OF LIABILITY
 

7.1 Despite all efforts made to deliver quality content on the Plio Platform and to its users, some inaccuracies or typographical errors may appear. In no event may Asimetrick Créations Inc. be held responsible for such errors.
 

7.2 Unless otherwise stipulated, the material identified in this policy as “Your Creations”, articles, reviews or other texts submitted by a guest or a user, and displayed on the Plio Platform, only reflect the personal opinions of the authors and are not shared by Asimetrick Créations Inc., neither do they incur their liability whatsoever.
 

7.3 The Plio Platform contains hyperlinks to websites operated or owned by third parties. Asimetrick Créations Inc. offers no warranties in regards to these websites and in no event may be held responsible for the content displayed or services offered therein.
 

7.4 Asimetrick Créations Inc. reserves the right to modify the content of the Plio Platform or to interrupt access at its discretion, and without prior notice, including the right to cease all activity on the Plio Platform, with or without prior notice, and without incurring any liability to any guest or user.
 

7.5 The Plio Platform, its content and the services offered therein are provided “as is” and “as available”. Asimetrick Créations Inc. makes no representations and offers no warranties, express or implied, regarding the operations of the Plio Platform or the services offered therein.
 

JURISDICTION
 

8.1 The Terms of Use of the Plio Platform and the relationship between you and Asimetrick Créations Inc. are managed by the laws of the Province of Quebec, Canada. The parties agree to elect domicile in the judicial district of Montreal, Province of Quebec, Canada, and choose it as appropriate district for the hearing of any claim arising with respect to the interpretation, application, enforcement, term, validity and impacts of these Terms of Use.
